1. Acceptance of Terms
By installing or using LeadNotio ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the App. These Terms apply to all users of the App, including merchants and their staff members.
2. Description of Service
LeadNotio is a Shopify embedded application that provides customer outreach tracking, CRM pipeline management, note logging, team assignment, and related sales management tools for Shopify merchants.
3. Eligibility
You must have a valid Shopify store and a Shopify Partner account (if applicable) to use LeadNotio. By agreeing to these Terms, you represent that you have the authority to bind your organization to these Terms.
4. Subscription and Billing
LeadNotio offers a Free plan and a paid Pro plan. Billing for paid plans is handled entirely through Shopify's billing system and is subject to Shopify's billing terms. Subscription charges are billed on a monthly recurring basis and will appear on your Shopify invoice.
You may cancel your subscription at any time by uninstalling the App from your Shopify admin. Cancellations take effect at the end of your current billing period. We do not provide refunds for partial billing periods.
5. Acceptable Use
You agree to use LeadNotio only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the App in any way that violates applicable laws or regulations
- Use the App to harass, spam, or send unsolicited communications to customers
- Attempt to reverse engineer, decompile, or extract the source code of the App
- Use the App to store or transmit malicious code
- Resell or sublicense access to the App without our written permission
- Use automated scripts to scrape or extract data from the App beyond normal use
6. Your Data
You retain ownership of all data you enter into LeadNotio, including customer notes, pipeline statuses, and activity logs. By using the App, you grant us a limited license to store and process this data solely to provide the service. Our data practices are described in our Privacy Policy.
7. Intellectual Property
LeadNotio and all related software, designs, logos, and content are owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the App as described herein.
8. Disclaimers
THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE APP IS AT YOUR SOLE RISK.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE APP IN THE THREE MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless LeadNotio and its owners, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the App, violation of these Terms, or infringement of any third-party rights.
11. Termination
We reserve the right to suspend or terminate your access to LeadNotio at any time if you violate these Terms or engage in conduct that we determine is harmful to other users, us, or third parties. You may terminate your use at any time by uninstalling the App.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by notifying you through the App. Your continued use of the App after changes constitutes acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the United States.
